1. Acceptance of Terms

1A. Agreement and Scope

By accessing or using GoNoGo (the "Service"), operated by GoNoGo LLC ("GoNoGo," "Company," "we," "us," or "our"), you agree to these Terms of Service ("Terms").

If you do not agree, do not use the Service.

These Terms cover our websites, mobile and web applications, guest features, updates, new features, and future versions of GoNoGo unless we expressly provide separate terms.

If you use the Service for a business, you represent that you are authorized to bind that business.

1B. Privacy and Marketing

Our Privacy Policy explains how we handle personal information.

Marketing choices are separate from acceptance of these Terms.

1C. Important Legal Provisions

Sections 10 through 14 address warranties, liability, indemnification, termination, and dispute resolution, including individual arbitration where enforceable.

2. Description of Service

2A. Platform Features

GoNoGo is a government-contracting platform that helps businesses find, evaluate, and manage contracting opportunities.

Features may include opportunity search, business profiles, a pursuit pipeline, document tools, saved searches, alerts, research tools, scoring or matching features, and an AI assistant that supports research, analysis, and suggestions.

Available features and usage limits depend on your plan, account, platform, and the features currently made available to you.

2B. Your Decisions and Results

The Service supports lawful business activity related to U.S. government contracting.

You choose which opportunities to pursue and are responsible for verifying the requirements that apply.

Matches, scores, summaries, recommendations, and AI-generated outputs do not establish eligibility, compliance, certification, award likelihood, or the accuracy of a solicitation.

We do not promise contract awards, revenue, or other business results.

2C. Product Changes and Future Versions

Your purchase is for the features and limits described for your plan at the time of purchase, not a commitment to deliver every feature discussed in a demonstration, preview, proposal, or product roadmap unless expressly included in written purchase terms.

Planned features and release dates may change.

We may improve or change the Service over time and will provide notice of material changes affecting paid use where required.

New features may have separate pricing or terms.

2D. ContractIQ Services

You may request consulting assistance from ContractIQ LLC through the Service.

Consulting work, deliverables, and fees require a separate agreement with ContractIQ. An inquiry or quote request does not by itself purchase consulting services or authorize a charge.

When you submit an inquiry, we share the information needed for ContractIQ to respond as explained in the Privacy Policy.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service.

The Service is intended for business use related to U.S. government contracting.

You are responsible for complying with laws applicable to your use, including applicable export-control and sanctions requirements.

These requirements apply to guest features as well as registered accounts.

4. Account Registration and Security

4A. Account Security

To access certain features, you must register for an account and provide accurate, current information.

You are responsible for safeguarding your credentials, managing access you authorize, and promptly notifying us at support@gonogo-app.com of suspected unauthorized use.

Do not share credentials or access another person's account without authorization.

4B. Business Workspaces

Only add business information or invite workspace members when you have authority to do so.

Other authorized members may be able to view or manage shared content according to the permissions available in the Service.

We may require reasonable verification to protect accounts or resolve access disputes.

5. Subscription Plans, Credits, and Billing

5A. Plans and Purchase Channels

GoNoGo may offer subscriptions, credits, or other paid features through purchase channels that are permitted for the relevant platform, storefront, account type, and region.

Purchase options may differ between the GoNoGo website, Apple's App Store, Google Play, enterprise arrangements, or other permitted channels.

The iOS app may allow an eligible user to sign in and access features or entitlements associated with that user's GoNoGo account where permitted by Apple's rules.

The availability of purchasing, purchase links, or account-management options inside the iOS app depends on the applicable App Store rules and storefront.

Prices, billing periods, included features, usage limits, renewal terms, and applicable taxes are disclosed before a purchase is completed.

5B. Website-Billed Purchases

Where you purchase directly from GoNoGo through the GoNoGo website, payment is processed by our payment provider.

Website-billed subscriptions are generally billed in advance and renew automatically for the disclosed period until canceled. By completing the purchase, you authorize the disclosed recurring charges.

We do not store full payment-card numbers or card security codes.

5C. App-Store Purchases

If a subscription or other digital purchase is offered and completed through Apple's App Store or another app marketplace, the marketplace processes the transaction under its applicable billing terms.

For an Apple in-app purchase, billing, renewal, cancellation, refund handling, and restoration are subject to Apple's applicable terms and systems.

Where required, the app provides access to restoration or entitlement-recovery functionality for restorable in-app purchases.

5D. Cancellation and Refunds

For a website-billed GoNoGo subscription, use the billing-management controls made available for your account or contact support@gonogo-app.com if you cannot access or confirm cancellation.

For a subscription purchased through Apple's App Store or another app marketplace, manage cancellation through the subscription-management tools provided by that marketplace.

Cancel before the next renewal to avoid the next recurring charge.

Cancellation normally stops future renewal while allowing continued access through the period already paid for, unless the account is closed or access ends under Section 13.

Unless required by law, expressly stated at purchase, or provided in Section 13, amounts properly charged by GoNoGo are nonrefundable and we do not provide refunds or credits for partial periods, unused time, or a decision not to use the Service.

Refund eligibility for purchases processed by Apple or another marketplace is governed by the applicable marketplace's rules.

We will investigate and correct confirmed billing errors. Nothing in these Terms limits rights that cannot legally be waived.

5E. Cancellation Does Not Delete Your Account

Canceling a subscription does not delete your GoNoGo account.

Uninstalling the app or stopping use does not by itself cancel a subscription.

Account deletion is a separate action described in Section 13.

5F. Credits and Automatic Top-Ups

Some features may use credits.

Credit costs, included allowances, reset rules, purchase prices, and applicable limitations are shown in the Service or at the permitted purchase point.

Purchased credits are account-bound, nontransferable, and not redeemable for cash except where required by law.

Credits pay for use of a feature and do not guarantee a particular result.

If automatic top-ups are offered through a permitted billing channel and you enable them, you authorize the disclosed charge when the specified balance threshold is reached. More than one top-up may occur during a billing period if the disclosed conditions are met.

You may disable future automatic top-ups through the billing channel or controls through which that feature is managed. Disabling future top-ups does not reverse charges already properly initiated.

5G. Changes and Payment Problems

We will disclose the timing and any immediate charge or proration before a plan change where applicable.

Price changes apply prospectively after any notice required by law or the applicable billing platform.

Keep payment details current where the billing channel requires you to do so.

Failed payments may be retried under the authorization applicable to the billing channel, and paid features may be restricted until payment is resolved.

6. Acceptable Use

6A. Lawful Use

You must not use the Service unlawfully, submit false procurement information, impersonate others, or misrepresent your identity or authority.

6B. Content Rights

You must not upload content you lack the right to use or disclose, violate confidentiality obligations, or infringe another person's privacy, intellectual-property, contractual, or other legal rights.

6C. Restricted Information

You must not upload classified information, Controlled Unclassified Information (CUI), export-controlled material, or highly sensitive personal information unless we have expressly agreed in writing to support that information with appropriate safeguards.

6D. Service Security

You must not circumvent access controls or usage limits, introduce malicious code, probe or exploit vulnerabilities without authorization, interfere with the Service, or use the Service to harass, defraud, or harm others.

6E. Access and Extraction

You must not scrape or systematically extract Service data, reverse engineer the Service except as permitted by law, or resell access without our written permission.

6F. Your Authority

You are responsible for having authority to submit information about other people or businesses and for limiting uploads to information reasonably necessary for your use of the Service.

7. Intellectual Property

7A. Service Rights

The Service's software, design, trademarks, interfaces, and Company-created content are owned by GoNoGo LLC or its licensors.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your lawful business purposes.

Government data and third-party materials remain subject to their applicable rights and restrictions.

7B. Your Content

You retain ownership of documents, notes, prompts, and other content you submit ("Your Content").

You grant us a limited, non-exclusive license to host, copy, process, analyze, transmit, and display Your Content as reasonably necessary to operate and improve the Service, support your account, secure the Service, and carry out your instructions, subject to the Privacy Policy.

Internal analytics and model development must follow the purposes and restrictions stated in the Privacy Policy.

7C. Limits on Our Use

The license in Section 7B does not permit us to sell Your Content or use private workspace content in advertising, testimonials, or case studies without separate permission.

We do not claim ownership of Your Content.

AI-processing and model-training restrictions in the Privacy Policy apply.

7D. iOS and App-Store License Terms

If you obtain the GoNoGo iOS application through Apple's App Store, Apple's applicable App Store terms and Apple's standard end-user license agreement apply to the licensed iOS application unless GoNoGo supplies a valid custom end-user license agreement through App Store Connect.

These Terms govern the GoNoGo Service and your relationship with GoNoGo and do not override mandatory terms imposed by Apple or rights that cannot lawfully be waived.

Nothing in these Terms states or implies that Apple sponsors, endorses, or is responsible for GoNoGo.

8. Third-Party Data and Services

8A. Data and Government Sources

The Service incorporates or references information from SAM.gov, other government sources, company websites, and other third parties.

Third-party and public data may be incomplete, outdated, delayed, or inaccurate.

You must verify solicitation requirements, deadlines, amendments, eligibility, certifications, and submission instructions with the issuing agency before acting.

GoNoGo LLC is not affiliated with or endorsed by the U.S. Government or any federal agency.

8B. Independent Services

Independent third-party websites and services are governed by their own terms and privacy practices.

We do not control their content or availability.

Our use of providers to operate GoNoGo remains subject to our commitments in these Terms and the Privacy Policy.

9. AI Assistant and Assisted Features

9A. Purpose and Scope

The assistant and other AI-assisted features help with contracting research, analysis, document review, opportunity review, and suggestions.

We may configure instructions, tools, retrieval sources, and other controls to focus the AI on supported tasks. These controls do not guarantee that every response is correct, complete, current, or compliant with those instructions.

9B. Reviewing Responses

Treat generated responses as a starting point for your own review.

AI-generated content may be incomplete, inaccurate, outdated, or unsuitable for your situation, and similar responses may be provided to other users.

Do not assume an AI response has been individually reviewed by a person.

The assistant does not provide legal, financial, accounting, or procurement advice from a licensed or retained professional.

9C. Decisions and Actions

You remain responsible for decisions, submissions, representations, and actions you authorize.

A suggestion, reminder, draft, or conversation does not by itself confirm that an external action was completed.

Check the relevant agency, platform, transaction, submission, or communication confirmation before relying on an external action as completed.

9D. Reporting Concerns

Please report harmful, inappropriate, or materially inaccurate responses to support@gonogo-app.com.

Where a report or feedback control is provided in the Service, you may also use it to submit the relevant response and context.

Reports may be reviewed as described in our Privacy Policy.

10. Disclaimers

10A. Service Warranties

To the extent permitted by law, the Service is provided "as is" and "as available," without implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not promise uninterrupted or error-free operation, complete security, or the accuracy, completeness, or timeliness of all information.

Except for our express commitments, we do not warrant that the Service will meet every individual business requirement.

10B. Preserved Rights

These limitations do not remove express commitments in applicable purchase terms, a separate written agreement with us, the Privacy Policy, or rights that cannot lawfully be waived.

11. Limitation of Liability

11A. Excluded Damages

To the maximum extent permitted by law, GoNoGo LLC and its officers, directors, employees, and agents are not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost data, loss of goodwill, or business interruption arising out of or related to the Service.

11B. Aggregate Limit

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of:

1. the amount you paid directly to GoNoGo for the Service during the twelve months before the event giving rise to the claim; or
2. USD $100.

These limitations do not apply to liability that cannot lawfully be excluded or limited.

12. Indemnification

12A. Covered Claims

To the extent permitted by law, you agree to indemnify, defend, and hold harmless GoNoGo LLC and its affiliates, officers, directors, employees, and agents from third-party claims, damages, liabilities, and reasonable expenses, including attorneys' fees, arising from:

• your unlawful use of the Service;
• your material breach of these Terms; or
• infringement or violation of another party's rights through Your Content or your use of the Service.

This does not require you to indemnify us for our own unlawful conduct.

12B. Handling Claims

We will provide reasonably prompt notice of a covered claim and reasonable cooperation at your expense.

You may control the defense with qualified counsel, but you may not settle a claim in a way that admits wrongdoing by us or imposes obligations on us without our written consent, which we will not unreasonably withhold.

13. Termination and Account Deletion

13A. Cancellation and Account Deletion

You may cancel renewal through the billing channel applicable to your subscription.

You may initiate deletion of your GoNoGo account through Settings > Privacy in the app. If you cannot access the app or your account, contact support@gonogo-app.com.

Subscription cancellation normally preserves paid access through the end of the paid period. Account deletion is separate and ends access when completed, including access to unused paid time and credits associated with that account, subject to applicable law and marketplace rules.

Export information you want to keep before requesting deletion.

Deletion and retained records are handled under the Privacy Policy.

13B. Charges and Remaining Credits

When your account is closed, we will take reasonable steps to stop future GoNoGo-controlled subscription or automatic top-up charges associated with that account.

If a recurring purchase is managed by Apple or another marketplace, you may also need to cancel that recurring purchase through the marketplace's subscription-management system.

Account closure does not reverse charges already properly incurred.

Voluntary closure does not create a refund for the current subscription period or unused credits except where required by law, required by the applicable billing platform, or expressly agreed.

13C. Suspension or Termination

We may suspend or terminate access for material violations of these Terms, nonpayment, security risks, legal requirements, misuse of the Service, or discontinuation of the Service.

We will provide notice when reasonably practicable but may act immediately where needed to protect users, the Service, or third parties or to comply with law.

13D. Company Discontinuation

If we permanently discontinue a paid service or terminate a paid account for reasons other than the user's material breach, we will provide any refund or other remedy required by applicable law, the applicable billing platform, or the relevant purchase terms.

For amounts paid directly to GoNoGo, we may refund the unused portion of prepaid subscription fees and the purchase value attributable to unused purchased credits where appropriate.

13E. Continuing Provisions

Provisions intended by their nature to survive termination, including accrued payment obligations, ownership provisions, disclaimers, liability limitations, indemnification, and dispute provisions, continue to apply.

14. Governing Law and Disputes

14A. Governing Law and Arbitration

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, subject to mandatory protections of applicable law.

Except where prohibited by law, disputes arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under the rules applicable to the dispute, including the Consumer Arbitration Rules when required.

Arbitration replaces a court trial and is subject to limited judicial review.

Either party may bring an eligible individual claim in small claims court or seek appropriate temporary or injunctive relief from a court of competent jurisdiction.

Nonwaivable statutory rights remain unaffected.

14B. Individual Disputes

To the extent permitted by law, you and GoNoGo LLC agree to resolve disputes individually and waive participation in class actions or class-wide arbitration.

14C. Rules and Procedure

AAA rules and filing instructions are available from the American Arbitration Association.

Filing fees, hearing arrangements, and allocation of costs will follow the applicable rules and law.

If arbitration cannot lawfully be required for a particular claim, that claim may proceed in a court with jurisdiction.

15. Changes to These Terms

15A. Updates and Acceptance

These Terms continue to govern covered updates and future versions of GoNoGo unless replaced or supplemented by terms we provide.

We will update the date above and notify you of material revisions through the Service, by email, or through another appropriate method before they take effect where required.

Revisions apply prospectively and do not retroactively remove accrued rights.

Continued use after the effective date constitutes acceptance to the extent permitted by law; where separate affirmative agreement is required, we will request it.

If you do not agree to revised Terms, stop using the Service and cancel recurring paid services.

15B. Privacy Choices

Changes to these Terms do not override the Privacy Policy or expand marketing consent.

16. General Terms and Contact

16A. How These Terms Work

These Terms, applicable purchase terms, and any separate written agreement with us govern your use of the Service.

A separate written agreement controls a conflict for the subject it expressly addresses.

Our Privacy Policy governs our handling of personal information and is not reduced by these Terms.

A waiver of one breach is not a waiver of another.

If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law.
